Terms and Conditions for Provision of Services
Introduction: These Terms and Conditions (also referred to as Terms of Service or Service Terms) set out the contractual framework governing the supply of services by the provider to the client. By making a booking or by otherwise instructing the provider, you acknowledge that you have read, understood and accepted these Terms & Conditions. The purpose of these Service Terms and Conditions is to explain the booking process, payment obligations, cancellation rights, liability limits, waste handling and regulatory responsibilities, and the governing law that will apply to the agreement between the parties.Scope and Definitions: For the purposes of clarity the following definitions apply: "Service" means the activity or activities agreed between the parties; "Client" means the person or business instructing the provider; "Provider" means the organisation delivering the Service; and "Booking" means any confirmed appointment, order or contract for Services. These Terms of Service apply to all bookings unless a separate written agreement overrides them. The headings in these Terms & Conditions are for convenience only and do not affect interpretation.
How to Book
The booking process is designed to be clear and straightforward. Clients must provide accurate information at the time of booking, including service requirements, site access details, and any relevant constraints. A Booking is formed when the provider issues a written confirmation (which may be by email or other electronic means) or when payment is received as described below. The provider reserves the right to decline any booking where the proposed Service would be unlawful, unsafe or otherwise impractical.Booking Process — Key Steps
To ensure an efficient delivery of the Service, clients should follow these steps:- Request: Submit a request with clear specifications of the required Service.
- Estimate: The provider may supply a quotation or estimate that outlines scope, timing and price.
- Confirmation: A Booking is confirmed upon written acceptance or payment as specified in the quotation.
- Preparation: Clients must prepare the site or items as instructed to enable safe and timely performance.
Changes to Bookings: Requests for changes to confirmed bookings should be made as soon as possible. The provider will attempt to accommodate reasonable changes at its discretion. Any changes may affect the price and/or the scheduled time and the provider will notify the client of any material changes prior to implementation.
Payments
The following payment terms apply to all Service bookings. Unless otherwise agreed in writing, the client must pay the fees specified in the quotation or invoice. Payment terms, methods and schedules will be set out in the confirmation. For some Services, a deposit or full pre-payment may be required to secure a booking.Invoices and Outstanding Amounts: Invoices are payable by the due date indicated on the invoice. Where payment is not received by the due date the provider may charge interest on overdue sums and may withhold further Services until outstanding amounts are paid. The client agrees to reimburse the provider for reasonable costs incurred in collecting overdue debts.
Accepted Methods and Security: Payment methods may include bank transfer, debit/credit card or other secure electronic payment systems. The provider will not be responsible for delays caused by payment processors and will not accept liability for unauthorised use of client payment instruments where the provider has acted in good faith. Clients are responsible for ensuring that card and payment details provided are accurate.
Cancellations, Rescheduling and Refunds
The provider recognises that circumstances change. A cancellation or proposed reschedule must be notified in writing. The provider will set out cancellation and reschedule windows in confirmations; outside those windows cancellation fees or retainers may apply. Refunds will be processed in accordance with the provider's stated refund policy on the confirmation and subject to any deduction for work already undertaken or costs incurred.Cancellation Charges: Cancellation charges will scale depending on the notice period and the nature of the Service. Where the provider has committed resources or subcontracted work, the client may be liable for the full cost of those commitments. In some circumstances the provider may offer a credit in lieu of a refund at its discretion.
Force Majeure and Unavoidable Delays
Neither party will be liable for failure to perform obligations where performance is prevented by circumstances beyond reasonable control (such as extreme weather, industrial action, or governmental restrictions). In such cases, the affected party must notify the other promptly and the parties will agree on an adjusted timetable or cancellation terms.Liability and Limitations
The provider undertakes to perform Services with reasonable care and skill. Subject to these Service Terms, the provider's total liability for loss or damage arising out of or in connection with the Service shall be limited to direct losses and, except where otherwise stated, capped at an amount equal to the fees paid for the Service in question. The provider will not be liable for indirect, special or consequential losses, including loss of profit, business interruption, or reputational damage.Client Responsibilities: The client must disclose any known hazards, provide accurate information and ensure safe access for the provider and its personnel. The client will indemnify the provider against claims arising from the client's failure to comply with these obligations. Clients should ensure that any valuable or fragile items are secured or removed prior to the commencement of Services.
Insurance: The provider will maintain appropriate insurance cover consistent with the nature of the Services. Evidence of insurance may be provided on request where reasonably required, but such requests will not delay agreed Service dates unless otherwise agreed.
Waste Management and Environmental Compliance
Where the Service involves waste, debris, or materials requiring disposal, the provider will handle such materials in accordance with applicable waste regulations and environmental best practice. The client must disclose the nature of any waste and whether it contains hazardous, controlled or restricted materials. The provider reserves the right to refuse to accept hazardous materials without prior agreement and appropriate handling arrangements.Segregation and Disposal: The provider will segregate waste as required by law and ensure disposal to authorised facilities. Fees for processing, transport, regulatory paperwork or specialist disposal will be charged to the client where necessary. The client remains responsible for correctly identifying materials that are subject to special controls.
Compliance and Records
The provider will maintain records of waste handling, transfer documentation and disposal where required. The client must cooperate with reasonable requests for information to ensure compliance with environmental regulations. Both parties agree to act in an environmentally responsible manner and to make reasonable efforts to minimise waste and promote reuse or recycling where practicable.Indemnity and Insurance Considerations
The client will indemnify the provider against claims arising from inaccurate or incomplete information provided at booking, or from the presence of prohibited or hazardous materials that were not disclosed. Where third parties are involved, the provider may require proof of the client's authority to instruct work or to dispose of materials.Subcontractors: The provider may engage subcontractors to perform parts of the Service. The provider will remain responsible for the overall delivery of the Service and for ensuring that any subcontracted works are performed in accordance with these Terms & Conditions.
Data and Confidentiality: Both parties will treat each other's confidential information with due care and will not disclose sensitive information to third parties except where required by law. The provider may retain minimal client data necessary to comply with legal obligations, administer bookings and manage payments.
Termination
Either party may terminate the agreement where the other party has committed a material breach that remains uncured after a reasonable period following written notice. Termination will not affect accrued rights, obligations to pay for Services performed, or the survival of provisions intended to survive termination (including liability caps, confidentiality and indemnities).Consequences of Termination: On termination the client must pay for Services provided up to the date of termination and for any unavoidable commitments entered into by the provider. The provider may retain or dispose of client property left at a site in accordance with applicable law and these Terms of Service, subject to reasonable notice where practicable.
Governing Law and Dispute Resolution: These Terms and Conditions and any contract between the parties shall be governed by and construed in accordance with the laws of England and Wales. The parties will first seek to resolve disputes by good faith negotiation. If a resolution cannot be reached, disputes may be referred to the courts with appropriate jurisdiction. Nothing in these Terms shall prevent either party from seeking urgent injunctive relief where necessary.
Miscellaneous
These Service Terms, together with any specific written agreements and the booking confirmation, constitute the entire agreement between the parties relating to the supply of the Service and supersede all prior arrangements. No variation of these Terms shall be effective unless agreed in writing by an authorised representative of the provider.Assignment: The provider may assign or novate its rights and obligations under these Terms to a third party. The client may not assign its rights without the prior written consent of the provider. Unenforceable provisions: If any provision of these Terms is held to be invalid or unenforceable, it will be severed and the remaining provisions will continue in full force and effect.
Acceptance: By confirming a Booking or by allowing work to commence, the client confirms acceptance of these Terms & Conditions in full. These Terms are presented to balance clear expectations with practical delivery of services; they are not exhaustive of every possible situation and the provider will act reasonably to resolve any unforeseen issues in line with the spirit of these Service Terms and Conditions.
